Terms and conditions

Scope

FIMA-CouronneTEC GmbH & Co. KG products are made specifically for professionals. When placing an order, you must be ordering the merchandise from the Internet shop for use solely in your capacity as an independent contractor, business professional, business operator, civil servant, or as part of the official responsibilities of your job. These Terms and Conditions apply to the exclusion of all others. We do not acknowledge any terms and conditions that differ from these except where we expressly consent to the validity of such.

Contract formation

When you use the button “PURCHASE NOW”, you are placing a binding order that constitutes and offer to contract. Before placing your order, you have the option of reviewing and, if needed, changing the data you have entered via the menu entry “Last check”. After you place your order, an e-mail will be sent to you confirming the receipt of the order and its details. This order confirmation does not constitute official acceptance within the meaning of the provisions of law governing sales of goods but rather is provided to inform our customers that their order has been received by FIMA-CouronneTEC GmbH & Co. KG. The contract of sale is not formed until the ordered merchandise is shipped. The contract is entered into and performed in the German language. FIMA-CouronneTEC GmbH & Co. KG reserves the right to abstain from the performance promised and instead to refund the purchase price to our customers if, despite a corresponding contract of sale being entered into previously, the merchandise is unavailable or temporarily unavailable.

Delivery within Germany

Where no other agreement has been reached, your FIMA-CouronneTEC GmbH & Co. KG dental crowns will be delivered in exchange for payment in advance, via credit card, purchase on invoice or SOFORT electronic funds transfer.

The merchandise delivery date will depend on the payment method selected. When you provide payment in advance, you will normally receive your delivery in two to three business days (Monday through Friday, not including Saturday) after payment is received.

Delivery outside of Germany

We are also happy to deliver our products to other countries. Please note that for orders valued at EUR 595.00 or higher including VAT (EUR 500.00 not including VAT), your order will be delivered to you free German border, duty unpaid. Your FIMA-CouronneTEC GmbH & Co. KG products will be delivered in exchange for payment in advance or via direct debit.

Prices shown

None of the prices stated for you as a businessperson do include the value-added tax (VAT) applicable by law, which then needs to be added. The foregoing does not apply to requests for samples, of course. The prices in effect in the webshop on the date of the order will apply. When a new version of the webshop appears, any previously stated prices will no longer be valid.

Retention of title

The merchandise remains the property of FIMA CouronneTec GmbH & Co. KG until the purchase price is paid in full.

Liability

Should there be a defect in the merchandise, the statutory provisions setting out liability for defects apply. With respect to loss as the result of incomplete or delayed delivery or failure to deliver, FIMA CouronneTec GmbH & Co. KG assumes no liability in the event that such was caused by fire, strike, lockout, force majeure, or by other circumstances over which we have no control or influence. FIMA-CouronneTEC GmbH & Co. KG shall promptly notify the customer of the lack of availability and immediately refund to the customer any payments made. In the event of loss caused by FIMA-CouronneTEC GmbH & Co. KG, liability for slight negligence is excluded. The foregoing does not apply to loss of life and limb, health, or well-being, the breach of material duties under the contract where the satisfaction of such is central to proper performance of the contract occurring at all and compliance with which the customer places its trust and should be able to place its trust in as a matter of course, to warranties, or where claims arising from the German Product Liability Act (Produkthaftungsgesetz) are involved. This also applies to the actions of our legally designated agents, employees, or parties assisting us with performance. Liability in the event of a breach of material duties under the contract is limited to such loss as is foreseeable and typically likely to occur. The statutory rights of our customers are not nullified by the foregoing limitations of liability.

Payment terms

The following payment options are available with FIMA-CouronneTEC GmbH & Co. KG: credit card, purchase on invoice or IMMEDIATE electronic funds transfer.

Any transaction fees incurred will always be paid by the buyer. FIMA-CouronneTEC reserves the right to retain the goods until the full amount has been transferred by the buyer. In case of cancellation, the buyer will receive a refund excluding the transaction fees.

Severability

Should one or more clauses of these Terms and Conditions be or become invalid, this shall have no effect on the validity of the remaining clauses and the validity of the contract as a whole. The invalid term is to be replaced by such provision the effect of which most closely approximates the economic objective that the parties had pursued with the invalid term. Application of Section 139 of the German Civil Code (BGB) is excluded.

Data privacy statement

By means of this link regarding data privacy describing what subject matter falls under data protection and privacy, the ordering party has received detailed information on the type, scope, location and purpose of the collection, processing and use of the personal information required for the fulfilment of orders and registration for the e-mail notification service by FIMA-CouronneTEC GmbH & Co. KG. The ordering party hereby expressly consents to such collection, processing and use of personal information. The ordering party may revoke this consent at any time, effective for the future.

Any other use of the materials or information available on this website – including the reproduction, resale, modification and publication for any purpose other than those described above – is prohibited except where FIMA-CouronneTEC GmbH & Co. KG has granted its prior written or electronic consent.

Shipping and terms of payment

Right to cancel

You have a right to cancel this contract within fourteen (14) days without providing a reason. The cancellation period is fourteen (14) days starting from the date on which you or a third party designated by you that is not the carrier has taken possession of the last item of merchandise. In order to exercise your right to cancel, you must inform us by giving us clear notice (e.g., via letter sent through the post, facsimile or e-mail) of your decision to cancel this contract. You may use the sample cancellation form included, but it is not required. For compliance purposes, it will suffice to send notice of your exercise of your right to cancel before the cancellation notice period expires.

Exceptions to the right to cancel:

The right to cancel does not apply to contracts concerning the supply of merchandise that is not ready-made and where a customised selection or specification by the consumer is required for the manufacture of such, or which is clearly tailored to the consumer’s individual requirements, or to contracts for the supply of sealed merchandise where due reasons related to health or hygiene such merchandise is not suitable for return if the seal is broken after delivery.

Consequences of cancellation:

If you cancel this contract, we must refund to you all payments we have received from you including delivery charges (with the exception of additional charges that result from you having chosen a type of delivery other than the least expensive, standard delivery option offered by us) immediately and no later than within fourteen (14) days starting from the date on which we receive notice of your cancellation of this contract. Unless we have expressly agreed to a different procedure with you, we will issue the refund to you via the same method of payment you used for the original transaction; under no circumstances will you be charged fees due to this refund. We may decline to issue a refund until we have received the merchandise back from you or until you can provide proof that you sent the merchandise back to us, whichever occurs sooner. You must return or surrender the merchandise to us promptly and in any event no later than within fourteen (14) days starting from the date on which you provide us with notice of the cancellation of this contract. We will consider the deadline met if you send the merchandise prior to the end of the 14-day period. We will pay for the costs for returning the merchandise. You will be responsible for any decrease in the value of the merchandise only in the event that such decrease in value is attributable to unnecessary handling of the merchandise as part of an inspection of its properties, features, or functionality.
